These Terms of Service (the “Terms”) govern your use of agdir.email, including the website, the dashboard at app.agdir.email, the API at api.agdir.email, the MCP server and any related services (together, the “Service”). agdir.email is developed and supported by Agdir and provided by Agdir Drift AS, a Norwegian company (“we”, “us”). By creating an account or using the Service you (“you”, the “Customer”) agree to these Terms on behalf of yourself and the organisation you represent.
1. The Service
agdir.email is a transactional email service. It accepts email through an API that is compatible with the open-source resend SDKs and delivers it through Amazon Simple Email Service in the EU (Stockholm, eu-north-1). It includes domain verification (DKIM, SPF, DMARC), delivery logs and events, webhooks, suppression lists, team management and usage-based billing.
The Service is currently in public beta. Features, limits and prices may change, and some features may be unavailable or limited (for example while our sending infrastructure is restricted by our email provider).
2. Accounts and teams
- The Service is intended for businesses, organisations and developers. You must be at least 18 years old and able to enter into a binding agreement.
- You sign in with a Google or GitHub account that has a verified email address. Keep your sign-in methods and API keys secure; you are responsible for all activity under your account, your teams and your API keys.
- Each account belongs to one or more teams. Team owners and administrators manage members, keys, domains and billing for the team, and the team is the customer under these Terms.
- Give us accurate information and keep it up to date. Tell us without undue delay at support@agdir.email if you suspect unauthorised use.
3. Acceptable use
You may only send email that you are legally entitled to send. In particular, you must not use the Service to:
- send unsolicited commercial email (spam), or email to purchased, rented, scraped or otherwise non-consenting lists;
- send phishing, malware, fraudulent, deceptive, defamatory, harassing or illegal content, or content that infringes the rights of others;
- impersonate others or send from domains or addresses you do not control or are not authorised to use;
- hide or falsify the origin of messages, or circumvent our limits, suppression lists, guardrails or security measures;
- probe, scan, overload or attack the Service or our providers, or attempt to access other customers’ data;
- resell or sublicense the Service without our written agreement.
You are responsible for complying with all laws that apply to your email, including data protection law (GDPR), the Norwegian Marketing Control Act (markedsføringsloven § 15) and Electronic Communications Act, the ePrivacy rules of the countries you send to and, where relevant, laws such as CAN-SPAM. Marketing email requires the recipient’s prior consent where the law says so, must identify the sender and must offer a simple way to unsubscribe.
4. Deliverability safeguards
To protect recipients, other customers and our sending reputation, we apply sending limits (daily and monthly quotas, a warm-up period for new teams and API rate limits), keep suppression lists of addresses that hard-bounced or complained, and monitor bounce and complaint rates. A team whose permanent bounce rate exceeds 3% or whose complaint rate exceeds 0.08% (measured over 24 hours once it has sent at least 100 emails) may be paused automatically. We may also pause or suspend sending, or restrict an account, without prior notice when we reasonably believe it is necessary to stop abuse, comply with law or protect the Service. We will tell the team owners why, and work with you to resolve it.
5. Plans, prices and payment
- The Free plan is free of charge and has a hard monthly and daily limit. Paid plans (currently Pro and Scale) are billed monthly in advance in euros, excluding VAT and other applicable taxes, which are added where required.
- Emails sent above a paid plan’s included volume are charged as overage per started block of 1,000 emails at the price shown in the dashboard, billed in arrears. You can set a spend limit; when it is reached, the API refuses further email until the next period or until you raise the limit.
- Payments are processed by Stripe. By upgrading you authorise us, through Stripe, to charge your payment method for the subscription and overage.
- If a payment fails, we will notify you; after a grace period of 7 days the team falls back to Free plan limits until the payment succeeds.
- Prices shown during the beta are indicative. We will announce price changes at least 30 days in advance; they apply from your next billing period.
- Fees already paid are not refunded, except where required by law or where we terminate the Service for reasons not attributable to you.
6. Your data and data processing
You keep all rights to the content you send through the Service and to your recipient data (“Customer Data”). For Customer Data you are the controller and we process it as your processor under Article 28 of the GDPR. These Terms, together with our Privacy Policy, form the data processing agreement between us, under which we:
- process Customer Data only to provide the Service and on your documented instructions (your API requests and dashboard settings), unless required otherwise by law;
- ensure that people with access to Customer Data are bound by confidentiality;
- maintain appropriate technical and organisational security measures, including encryption in transit and access control;
- use only the sub-processors listed in the Privacy Policy, and notify you of changes in advance so that you can object;
- assist you with data subject requests, security incidents and impact assessments, and notify you without undue delay of a personal data breach affecting Customer Data;
- delete Customer Data when it is no longer needed to provide the Service, and at the latest after the account is closed, unless the law requires us to keep it;
- make available the information needed to demonstrate compliance with Article 28.
Customer Data is stored and processed in the EU/EEA. If you need a separately signed data processing agreement, contact support@agdir.email.
7. Availability and support
We aim to keep the Service available and reliable but, during the beta, we do not guarantee any particular uptime or delivery time. Delivery to a recipient’s inbox also depends on the recipient’s mail provider. We may carry out maintenance, preferably outside European business hours. Support is provided by email at support@agdir.email.
8. Intellectual property
We and our licensors own the Service, including its software, design and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service for your own business during the term of these Terms. If you send us feedback, we may use it freely.
9. Third parties and Resend
The Service is compatible with the open-source resend SDKs. “Resend” is a trademark of its owner and is used only to describe compatibility; agdir.email is not affiliated with, endorsed by or sponsored by Resend. Third-party services you connect (such as Cloudflare for one-click DNS setup) are governed by their own terms.
10. Warranties
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including fitness for a particular purpose. You warrant that you have the rights and consents needed for the email you send.
11. Limitation of liability
Neither party is liable for indirect or consequential loss, such as lost profit, lost revenue, lost data or loss of goodwill. Our total liability under these Terms in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim. These limitations do not apply to loss caused by gross negligence or wilful misconduct, or where liability cannot be limited by law.
12. Indemnity
You will indemnify us against third-party claims, fines and reasonable costs arising from the email you send, your Customer Data or your breach of these Terms or applicable law.
13. Term, cancellation and termination
- These Terms apply from the day you create an account until it is closed.
- You may cancel a paid plan at any time from the dashboard; it ends at the end of the current billing period and the team returns to the Free plan. You may close your account at any time by contacting us.
- We may terminate the Service for you with 30 days’ notice, or immediately if you materially breach these Terms (including the acceptable use rules) or fail to pay.
- On termination, your right to use the Service ends, and we delete your Customer Data as described in the Privacy Policy. Sections that by their nature should survive termination (for example payment, liability and governing law) survive.
14. Changes to these Terms
We may update these Terms. We will notify team owners by email or in the dashboard at least 30 days before material changes take effect. If you do not agree, you may cancel before the changes apply; continued use after that date means you accept them.
15. Governing law and disputes
These Terms are governed by Norwegian law. The parties will first try to resolve disputes amicably. If that fails, disputes are settled by the Norwegian courts, with the district court of Agdir Drift AS’s registered office as the agreed venue.
